Tall Tree Translations Ltd - Terms & Conditions - Effective 24 August 2026

 

These Terms & Conditions (“T&Cs”) apply to all goods and services provided by Tall Tree Translations (“we”, “us”, “our”) to the Customer (“you”, “your”).

By placing an order with us, you agree to these T&Cs unless we have expressly agreed otherwise in writing.

Where you are a consumer (an individual acting for purposes outside your trade, business, or profession), the Consumer Addendum (see Section 22) modifies these T&Cs to comply with UK consumer protection law.


1. Basis of Contract

  • We supply all goods and services subject to these T&Cs.
  • Any terms or conditions supplied by you (e.g., purchase orders) will not apply unless we agree in writing.

Liability Note: Nothing in these T&Cs limits or excludes our liability for death or personal injury caused by our negligence, or any liability that cannot be limited under applicable law.


2. Delivery Times

  • Delivery times are estimates only.
  • While we will use reasonable efforts to meet deadlines, we cannot guarantee delivery times and will not be liable for delays to the fullest extent permitted by law.
  • Delays do not constitute a breach of contract and do not entitle you to cancel, except where your statutory consumer rights apply.


3. Delivery and Risk

Delivery is deemed to have taken place when:

  • Work is posted,
  • Handed to a carrier, or
  • Sent electronically (e.g., email, Dropbox, cloud-based transfer).

Risk passes to you at the point of delivery.


4. Carriers and Transmission

  • We take reasonable care in selecting carriers and transmission methods.
  • We are not liable for loss, damage, or consequential loss arising from delivery or electronic transmission, to the fullest extent permitted by law.


5. Copyright and Intellectual Property

  • Copyright in any translation or work remains ours until full payment for related work is received. After full payment, copyright transfers to you.
  • You confirm that you have the right to provide us with any material.
  • You indemnify us against claims, costs, or losses arising from copyright infringement or misuse of your materials, including any loss caused in whole or in part by your negligence or failure to provide correct, complete, or legible materials.


6. Accuracy and Corrections

  • We take reasonable care to provide accurate work. Due to the nature of language services, no guarantee of absolute accuracy can be given.
  • We are not liable for consequential loss arising from errors or differences in interpretation, including where loss is wholly or partly due to your negligence, to the fullest extent permitted by law.
  • Errors or defects must be reported within 21 days. At our discretion, we will correct the issue or provide a credit limited to the proportion of the charges affected.


7. Use and Publication

·       Unless agreed otherwise, our services are for general information and correspondence.

·       We do not guarantee suitability for publication, to the fullest extent permitted by law.

·       You are responsible for checking all work before publication.


8. Urgent (“ASAP”) Work

  • For urgent work, we cannot accept liability for errors or omissions, to the fullest extent permitted by law.
  • Work is deemed urgent if it includes:
  • Translations completed within 24 hours;
  • Translation rates exceeding 1,500 words per language per working day;
  • Typesetting completed within 24 hours;
  • Typesetting at 15+ A4 pages per working day;
  • Internet publishing, graphics, or design work completed within 5 working days.

Normal working hours: Mon–Fri, 9am–5pm (UK Bank Holidays excluded).


9. Customer-Supplied Material

  • We are not responsible for identifying or correcting errors in material supplied by you.
  • We are not liable for any loss arising from such errors, including where loss is wholly or partly due to your negligence, to the fullest extent permitted by law.
  • Materials must be supplied in a clear and legible format. If unclear and uncorrected, we may decline or stop work without liability.


10. Specific Limitations

We are not liable for:

  • Errors in measurement conversions;
  • Transliteration of names or proper nouns;
  • Translation of abbreviations;
  • Errors caused by illegible source material.

These limitations apply even if the loss or error is wholly or partly due to your actions, omissions, or negligence.


11. Storage of Materials

  • Unless agreed in writing, we are under no obligation to store materials.
  • Agreed storage is limited to one year from invoice date, after which materials may be securely deleted or destroyed.


12. Confidentiality

  • Any know-how, information, or details of suppliers or subcontractors provided by us must be treated as confidential and not disclosed to third parties.


13. Prices and VAT

  • All prices are exclusive of VAT and other applicable taxes unless stated otherwise.


14. Quotations and Estimates

  • Written quotations and estimates are valid for 30 days unless stated otherwise.
  • If a quotation is provided without full sight of material, or the scope changes, the price may be revised.


15. Hourly Rates

  • Where work is charged hourly, any part of an hour is charged as a full hour unless agreed otherwise.


16. Interpreting and On-Site Services

  • Time charged begins when personnel leave residence or office (whichever is later) and ends when they return.
  • Travel, accommodation, and subsistence expenses are charged to you.
  • You are responsible for personnel safety and indemnify them against injury or property damage during the assignment.


17. Cancellations

  • If work is cancelled:
  • You pay the greater of 33% of total fee, or the proportion of work completed plus preparation/admin time.
  • For interpreting assignments, full fee is payable if cancelled within 7 days of booking.


18. Delivery and Postage Costs

  • Return postage within the UK is normally covered unless disproportionately high.
  • Any method exceeding Royal Mail First Class will be charged in full.


19. Payment Terms

  • Payment is due by the earlier of the quotation timescale or 28 days from invoice date.
  • Interest on overdue amounts is 8% above base lending rate per month.
  • Discounted prices are conditional on timely payment; late payment triggers the full price plus interest.
  • Suspension of credit: If any invoice is not paid by its due date, we reserve the right, without further notice, to suspend the customer's credit account and withdraw any further credit facilities. No further goods or services will be supplied on credit until all overdue invoices, interest and any applicable recovery costs have been paid in full. This shall be without prejudice to our other rights and remedies.
  • Revocation of payment terms: If any invoice remains unpaid for 14 days after its applicable payment due date, we reserve the right to revoke any agreed credit or payment terms and require immediate payment of all outstanding invoices and sums due to us. We may also suspend further supply until such amounts have been paid in full.
  • These rights are in addition to, and shall not limit, any other rights or remedies available to us under these Terms and Conditions or by law.


20. Limitation of Liability (Catch-All)

  • To the fullest extent permitted by law, we are not liable for any indirect, special, or consequential loss, including loss of profits, business, or goodwill, even if wholly or partly caused by your actions, omissions, or negligence.


21. Waiver

  • If we waive any provision, all other provisions remain in full force unless agreed otherwise in writing.


22. Consumer Addendum

If you are a consumer, the following applies in addition to the above:

22.1 Right to Cancel

  • You may cancel an order within 14 days unless services have already begun with your consent.
  • If services have started, payment is due for work provided up to the cancellation date.

22.2 Refunds

  • Refunds for cancellations under consumer rights are made within 14 days using the same payment method unless agreed otherwise.

22.3 Service Quality

  • Services will be provided with reasonable care and skill, as required by law.
  • Consumer rights for defective or incomplete work remain unaffected.

22.4 Unfair Terms

  • Any term unfair under UK law is limited or removed for consumers, without affecting other provisions.

22.5 Liability

  • Nothing limits statutory consumer rights. Liability for death, personal injury, or fraud remains fully in effect.

23. Governing Law

These T&Cs are governed by English law, and the courts of England have exclusive jurisdiction.
